Please read these Terms of Service (“Terms”) carefully before using this authenticated portal and related online platform and services that you access after logging in (the “Service”) operated by Advisor360°, LLC (“Advisor360°,” “us”, “we”, or “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to: (a) any visitor to our public website; and (b) all authenticated users who have been granted access to the Service by a financial institution, broker-dealer, registered investment adviser, or other organization that has entered into an agreement with us (your “Firm”), or directly by us. 

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms, you should not continue using the Service and you do not have permission to access the Service.

If you are an authenticated user of the portal, your license to use the Advisor360° software, products, and services made available to you after you log in is separately governed by our End User License Agreement (“EULA”), which takes effect once you log in and is in addition to these Terms.

Your use of our public website is also governed by our General Privacy Policy. If you are an authenticated user of the portal, your use of the portal is additionally governed by our Portal Privacy Policy, which takes effect once you log in, in addition to the EULA. Together, these privacy policies describe how we collect, use, and disclose information when we act as a data controller for the Service. By accessing or using the Service, you consent to the collection, use, and disclosure of information as described in our Privacy Policy. We reserve the right, and you authorize us, to use and assign all information obtained by us in the course of your use of the Service in any manner consistent with our Privacy Policy.

Website Content; Intellectual Property; Limited License to Users

The Service may provide tools, functionality and information that allow you to view and work with account, household, and other data made available by your Firm and its service providers. Your eligibility for particular products and services accessible through the Service is subject to our final determination, restrictions, and acceptance. We may discontinue or make changes to the information, products, licenses, or services described in the Service at any time. Any dated information is published as of its publication date only. We do not undertake any obligation or responsibility to update or amend any such information. Furthermore, by offering information, products, or services via the Service, no solicitation is made by us to any person to use such information, products, or services in jurisdictions where the provision of information, products, or services is prohibited by law.

The Service and its original content, features and functionality are and will remain the exclusive property of Advisor360° and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Any unauthorized use of the Service may violate such laws and these Terms. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Advisor360°. Except as agreed in writing by us, we do not grant any express or implied rights to use the Service. You agree not to copy, republish, transmit, modify, license or create derivative works based on the Service. In addition, you agree not to use any data mining, robots, or similar data gathering and extraction methods in connection with the Service.

We are a technology service provider only and do not provide investment, legal, tax, or other professional advice through the Service. Any such advice, if provided, is the responsibility of your Firm and/or your advisor, under their own agreements and regulatory obligations.

Use of the Service

To access and use the Service, you must have a compatible device and an Internet connection, for which you are solely responsible, including all applicable charges, fees, and taxes. From time to time, the Service may be unavailable due to maintenance, upgrades, equipment or telecommunications failures, high transaction volumes, or other reasons. We will use reasonable efforts to minimize the periods of unavailability, but we do not guarantee that the Service will be available at any particular time or that access will be uninterrupted. You agree that Advisor360° shall not be liable for any loss, damage, cost, or expense arising from any interruption, suspension, or termination of the Service, or from your inability to access the Service due to issues related to your device, your Internet connection, your Internet service provider, or limitations or constraints of the Internet.

You may use the Service only as an authorized user of a Firm (or as an investor who has been granted access by such a Firm) and only for lawful purposes and as permitted by your Firm’s policies and applicable law.

You agree that you will not: (a) attempt to gain unauthorized access to the Service or to any accounts, systems, or networks connected to the Service; (b) introduce or attempt to introduce any viruses, malware, or other harmful code into the Service; (c) attempt to bypass or interfere with any security controls or access restrictions; or (d) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Service, except to the limited extent that applicable law expressly permits despite this restriction.

Security

We use reasonable administrative, technical, and physical safeguards designed to protect the security and confidentiality of the Service. However, we cannot guarantee that such safeguards will prevent all unauthorized access, use, or disclosure of information relating to the Service. By using the Service, you acknowledge and agree that Internet transmissions are never completely private or secure and that any message or information you send to us through the Service may be read or intercepted by others, even if we use reasonable security measures.

You are solely responsible for maintaining the security of your devices and any credentials used to access the Service. This includes keeping your username, password, multi-factor authentication codes, and any other security credentials confidential and not sharing them with anyone else. Advisor360° is not responsible for any losses resulting from the loss, theft, or unauthorized use of your device, your credentials, or any information transmitted from or stored on your devices.

Our Service may contain links to third party websites or services (including third-party custodians, vendors, or other platforms that you access via links or single sign-on from the Service) that are not owned or controlled by us. We have no control over, and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that Advisor360° shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party websites or services.

We strongly advise you to read the terms of use, terms of service, terms and conditions, and/or privacy policies of any third-party websites or services that you visit.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Your Firm may also suspend or terminate your access to the Service at any time, including when your employment, affiliation, or client relationship with the Firm ends.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Indemnification

You agree to defend, indemnify and hold harmless Advisor360° and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

Limitation Of Liability

In no event shall Advisor360° or its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Advisor360°, its subsidiaries, affiliates, and its licensors do not warrant that (i) the Service will function uninterrupted, secure or available at any particular time or location; (ii) any errors or defects will be corrected; (iii) the Service is free of viruses or other harmful components; or (iv) the results of using the Service will meet your requirements.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Advisor360° is committed to providing a Service that is accessible to users with disabilities. We strive to design and maintain the Service in a manner that is consistent with generally recognized accessibility standards (such as the Web Content Accessibility Guidelines), to the extent commercially reasonable.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Massachusetts, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms.
